Terms & Conditions

Welcome to papmall®’s Suppliers Program! These Terms and Conditions outline the agreement between papmall® and you, the Supplier, regarding your participation in the Suppliers Program. By joining the Suppliers Program, you agree to comply with these Terms and Conditions.

As used in this Agreement, “we,” “us,” and “papmall®” means the applicable papmall® Contracting Party and any of its applicable Affiliates, and “you” means the applicant (if registering for or using a Service as an individual), or the business employing the applicant (if registering for or using a Service as a business) and any of its Affiliates. Capitalized terms have the meanings given to them in this Agreement.

COMMISSION STRUCTURE

Suppliers will provide papmall® with wholesale pricing for bulk orders. Wholesale pricing will be communicated separately and may be subject to change at papmall®’s discretion.

ORDER FULFILLMENT

a) papmall® will process orders, including shipping and delivery, for products purchased by Buyers.

b) papmall® shall fulfill orders placed by Buyers within a reasonable timeframe, subject to availability of Products and any lead times communicated by papmall®.

STOCK AND INVENTORY

a) papmall® retains direct ownership and management of all stock and inventory related to the Products offered for sale through Suppliers.

b) Suppliers acknowledge that papmall® bears all risks associated with inventory management, including but not limited to procurement, storage, and obsolescence.

c) Suppliers shall not engage in any activities that may affect papmall®’s inventory management processes, including but not limited to altering product listings, overselling, or misrepresenting stock availability.

d) papmall® reserves the right to adjust inventory levels, discontinue Products, or implement inventory management strategies at its sole discretion, without prior notice to Suppliers.

e) This Stock and Inventory provision emphasizes papmall®’s direct ownership and management of stock, along with the associated inventory risks, and shall be interpreted and enforced accordingly.

PRODUCT REPRESENTATION

a) papmall® shall have full control over all aspects of product representation, including but not limited to product descriptions, images, videos, and other content related to the Products.

b) Suppliers acknowledge that papmall® may create, modify, or update product content at its sole discretion to ensure accuracy, consistency, and compliance with papmall®’s branding and marketing standards.

c) Suppliers shall not independently create or modify product content without prior written authorization from papmall®.

d) Suppliers shall promptly notify papmall® of any inaccuracies, errors, or discrepancies in product content and shall cooperate with papmall® to rectify such issues in a timely manner.

e) papmall® reserves the right to take legal action against Suppliers for any unauthorized use or modification of product content that violates papmall®’s intellectual property rights or damages papmall®’s reputation.

f) This Product Representation clause shall remain in effect during the term of this Agreement and survive its termination.

BRAND RELATIONSHIP

Suppliers are not authorized to enter into agreements or make commitments on behalf of papmall®. Any partnerships or collaborations must be approved by papmall® in writing.

RETURN AND REFUND

a) papmall® shall directly handle all returns, exchanges, and refund processes for Products sold.

b) papmall® reserves the right to determine the eligibility of returns, exchanges, or refunds based on its policies and the condition of the returned Products.

c) Suppliers shall not independently process returns, exchanges, or refunds for Products sold through papmall® without explicit authorization from papmall®.

d) This Return and Refund Policy is an integral part of this Agreement and shall be interpreted and enforced in conjunction with all other terms and conditions herein.

PAYMENT TERMS

a) papmall® shall collect payment upfront from customers for all Products sold papmall®.

b) Suppliers acknowledge and agree that papmall® is solely responsible for processing payments from end-users, including but not limited to credit card transactions, electronic payments, and any other forms of payment accepted by papmall®.

c) This Payment Processing provision shall be interpreted and enforced in conjunction with all other terms and conditions of this Agreement.

TERMINATION

papmall® reserves the right to terminate a Supplier’s participation in the program at any time for any reason, including but not limited to violation of these Terms and Conditions, fraudulent activity, or failure to meet payment obligations.

MODIFICATION OF TERMS

papmall® reserves the right to modify these Terms and Conditions at any time without prior notice. Suppliers will be notified of any changes, and continued participation in the Suppliers Program constitutes acceptance of the modified Terms and Conditions.

GOVERNING LAW

These Terms and Conditions shall be governed by and construed in accordance with the laws of Hong Kong. Any disputes arising out of or related to these Terms and Conditions shall be resolved exclusively by the courts of Hong Kong.

By participating in papmall®’s Suppliers Program, you acknowledge that you have read, understood, and agree to abide by these Terms and Conditions. If you have any questions or concerns, please contact papmall®’s support team for assistance.

INTELLECTUAL PROPERTY

Ownership: papmall®, the licensor that allows papmall® or its Service provider to own, license, and control all Intellectual Property on the papmall® Platform and in respect of Materials on the papmall® Platform. papmall® fully reserves the right to enforce its Intellectual Property Right allowed by law.

LIMITATION ON LIABILITY

IN NO EVENT WILL PAPMALL®, ITS AFFILIATES OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SITE OR SUCH OTHER WEBSITES OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT OR OTHERWISE, EVEN IF FORESEEABLE. THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

The term “Affiliate” referred to herein, is an entity that, directly or indirectly, controls, or is under the control of, or is under common control with papmall®, where control means having more than fifty percent (50%) voting stock or other ownership interest or the majority of voting rights of such entity.
